Welcome to Legislytics (“the Product”), developed by The Governance Company (“we,” “us,” or “our”), a Delaware C-corporation. By accessing or using the Product, you agree to comply with and be bound by the following Terms of Use. Please read these terms carefully.

1. Acceptance of Terms

By accessing, downloading, installing, or using Legislytics, you accept these Terms of Use and any additional terms, conditions, policies, or guidelines referenced herein. If you do not agree to all the terms, you must not use the Product.

2. Eligibility

You must be at least 13 years old to use Legislytics. By using the Product, you represent that you meet this age requirement.

3. License

We grant you a non-exclusive, non-transferable, limited, revocable license to use Legislytics for your personal, academic, or professional purposes related to public policy analysis, subject to these terms. You may not use the Product for any unlawful or prohibited purpose.

4. User Responsibilities

You are responsible for the accuracy and completeness of the data and input you provide to Legislytics.

By using Legislytics, you consent to allow The Governance Company to use your interactions (including input text, feedback, and any related data) to improve and train our AI model. We do not associate this data with personally identifiable information unless you have explicitly provided consent for such use.

5. Privacy

Your privacy is important to us. Please review our Privacy Policyfor information on how we collect, use, and protect your personal information, especially when it relates to sensitive or identifiable data within public policy discussions.

6. Intellectual Property

All intellectual property rights, including but not limited to trademarks, logos, and copyrights associated with Legislytics, remain the property of The Governance Company. You are granted no rights to use them except as expressly provided in this agreement.

7. Modifications

We reserve the right to modify or discontinue Legislytics at any time, with or without notice. We may also update these Terms of Use from time to time. Any updates will be posted on our website, and continued use of the Product constitutes your acceptance of any changes.

8. Third-Party Services

Legislytics may integrate with third-party services or databases, particularly for the purposes of gathering public policy data or providing policy insights. We are not responsible for the actions, content, or policies of these third parties. Use of any third-party services is at your own risk.

9. Disclaimer of Warranties

Legislytics is provided “as is” and “as available” without any warranties of any kind, either express or implied. We do not warrant that the Product will be uninterrupted, error-free, or completely secure. The Product is designed to provide information on public policy and should not be taken as professional or legal advice.

10. Limitation of Liability

To the fullest extent permitted by law, The Governance Company is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, revenue, or profits, arising out of or related to your use of Legislytics, especially when using it to inform public policy decisions.

11. Content Responsibility and Accuracy

Users are responsible for the accuracy of any information, analysis, or content they generate or share through Legislytics. While Legislytics offers tools to assist with public policy analysis, The Governance Company is not responsible for ensuring the correctness of any public policy proposals, statistics, or conclusions generated by users.

12. Termination

We may terminate your access to Legislytics at any time for violation of these Terms of Use or for any other reason at our sole discretion. Upon termination, your rights to use the Product will cease immediately.

13. Data Usage and AI Model Training

By using Legislytics, you agree that any content or input provided through the Product (e.g., queries, feedback, or responses) may be collected and used to train, improve, or modify our AI models. This data helps us refine our algorithms, provide more accurate insights, and enhance user experience.

We strive to anonymize user data used for AI training. Personally identifiable information (PII) such as names, addresses, or other sensitive information will not be stored or used for model training unless specifically required and approved by the user.

You may opt out of contributing your data to the model training process by contacting us at terms@legislytics.com. Please note that opting out may limit the features or functionality of the Product.

14. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts located in Delaware.

15. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the breach, termination, enforcement, interpretation, or validity thereof, or your use of Legislytics (collectively, “Disputes”) will be exclusively resolved in the United States federal courts located in the Northern District of New York.

Venue: The exclusive venue for any Dispute will be in the Northern District of New York, and both parties consent to the personal jurisdiction of these courts.

Waiver of Jury Trial: Both you and The Governance Company agree to waive any right to a jury trial in any legal proceeding related to these Terms of Use or your use of Legislytics.

No Class Actions: You agree that any Dispute will be resolved on an individual basis and that any claims brought against The Governance Company in connection with Legislytics must be brought in your individual capacity. You agree not to participate in any class, collective, or representative action.
